9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIDMERC REAL ESTATE SOLUTIONS AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT OR SERVICES PROVIDED THROUGH THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MIDMERC REAL ESTATE SOLUTIONS' TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO MIDMERC REAL ESTATE SOLUTIONS IN THE PAST SIX MONTHS.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any dispute arising from or related to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Jackson County, Missouri. You consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Notice and any other legal notices published by MidMerc Real Estate Solutions on the Site, constitute the entire agreement between you and MidMerc Real Estate Solutions concerning the Site and supersede all prior agreements and understandings.
